E. Bennett of the Law De­partment of the Union Pacific Railroad Company a draft of proposed Escrow Instructions for the transfer of the facili­ties of the Las Vegas Land and Water Company to the District Mr. Bennett asked that we indicate our willingness to act as Escrow Agent and if so to make comments regarding the Escrow Instructions. Naturally we are most anxious to act in this capacity and so advised him; the Escrow Instructions appear to be carefully drawn and to cover all pertinent points. In addition Mr. Bennett asked that we outline to him the basis for our escrow fees and to send the same information to Mr. Leo McNamee and Mr. Franklin T. Hamilton, Attorneys for the District. Our fees were quoted at l/20th of 1% of the estimated cash to be handled in the Escrow of $2,850,000 This would make our fee $1,425.00 which, according to the Escrow Instructions, is to be divided equally between the Water Company and the District.
