ASSIGNMENT IH LIQUIDATION TO STOCKHOLDER SNOW ALL MEN BY THESE PRESENTS: That on the 89th (ley of January, 1999, the Board of Directors of Federal Homes, Inc., a Nevada Corporation, in a legally called special nesting of the said Board, did adopt a resolution authorising the complete liquidation of the said Federal Hones, Inc. and a plan for effecting such complete liquidations That on the said 89th day of January, in a legally called special meeting of the stockholders of the said Federal Hones, Inc., the said stockholders did, by unanimous vote of all of the outstanding capital stock of the said corpora* tlon, approve the aforesaid resolution of the Board of Directors; That anong the assets of the corporation to be distributed to the stock* holders under the said plan of complete liquidation are certain rights to re* eeive refunds from the Las Vegas Valley Water District, such refunds being eon* tingent upon revenues received by the said las Vegas Valley Water District from service to the properties improved by Federal Hoses, Inc., all under the terns of a contract existing between the Las Vegas Valley water District and Federal Homes, lac.; That the aforesaid resolution authorising complete liquidation of Federal Homes, Inc.provides that the right to receive future refunds from the Las Vegas valley Water District shall be assigned to the stockholders of Federal Hones, Inc. pro-rata as their stockholdings, ss follows: Therefore, pursuant to the authorisation of its Board of Directors, Federal Hones* Inc. does hereby assign and convey to the right to receive fifteen per cent (18%) of any refunds to be paid subsequent to this date by the las Vegas Valley Water District by reason of its contract with Federal Hones, Inc.
