PERFORMANCE CONTRACT This Performance Contract (this "Contract") is made and entered into as of the 14t h day of August, 2000, by and between Bogus Productions, Inc ("Producer") Board of Regents of the University and Community College System of Nevada on behalf of the Consolidated Students of the University of Nevada ("Purchaser"). In consideration of the mutual covenants set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and intending to be legally bound, Purchaser and Producer hereby agree as follows: 1. Purchaser hereby engages the personal services of Producer, and Producer agrees to provide his/her/its personal services to Purchaser, for the engagement(s) to be presented at the time(s) and place and under the conditions hereinafter set forth: Type of Performance: Outdoor (On campus) Date(s): Friday, September 22,2000 Saturday, September 23, 2000 Location: Friday - North Field Saturday - Intramural Field Starting Time(s) & Length: Friday (5 bands) 3:30pm - 8:30pm (estimated) Saturday (4 bands) 10:30 - 2:30pm (estimated) (hereinafter, the "Performance"). Producer's services shall be limited to those described herein. Producer agrees that it will not engage in any activity not expressly authorized by this Contract. 2. Purchaser agrees to pay Producer the sum of $8,000.00 (the "Consideration") as and for full consideration for the Performance and the services to be rendered by Producer under this Contract, as follows: Purchaser shall pay Bogus Productions (Fed ID 88-0388124) a fifty percent deposit upon execution of this contract, in the amount of $4,000.00 and the remaining balance of $4,000.00 due on the night of the Performance, prior to start time, made payable to Bogus Productions (Fed ID 88-0388124). 3. Nothing in the Contract shall be considered to create the relationship of employer and employee between the parties. Producer shall be deemed at all times to be an independent contractor. In no event shall Purchaser be deemed an employer of Producer or a producer of the Performance. Purchaser assumes no liability or responsibility for, among other things, reporting employee taxes or paying any levies required by the Internal Revenue Service and/or other state or federal agency. 4. Purchaser shall be solely responsible for obtaining any and all licenses, permits, and/or approvals which may be necessary to hold or carry out the Performance, and shall be solely responsible for paying any and all fees and costs associated with obtaining and maintaining such licenses, permits and approvals, including but not limited to any licenses, permits or approvals from and payment of fees to ASCAP, BMI or any similar organization. 5. In order to consummate the transactions contemplated by this Contract, Producer shall provide the following: - Staging w/cover, audio, power, tents - for both days (Friday and Saturday), 5 bands to be mutually determined between purchaser and producer for Friday and 4 bands to mutually determined between purchaser and producer, and event coordination on site both days for event execution. 6. In order to consummate the transactions contemplated by this Contract, Purchaser shall provide the following: - Field (Venue) locations with all pre-approvals, campus security or Police, as the purchaser seems fit, all on campus promotions advertising the event in a timely manner. 7. The term of this Contract shall commence upon its execution by both parties and shall terminate upon completion of the Performance, tear down of any equipment utilized in connection with the Performance, and payment of the full Consideration by Purchaser (the "Term"). 8. If before the date of any scheduled performance it is found the purchaser has not performed fully its obligations under any other agreement with any party for another engagement or that the financial credit of the purchaser has been impaired , Producer may cancel this agreement in the event that purchaser does not perform fully all of it's obligations herein, artist shall have tho option to perform or refuse to perform hereunder and in either event purchaser shall be liable to artist for damages in addition to the compensation provided herein. 9. Artist shall have the sole and exclusive control over their individual production, presentation, and performance of the engagement hereunder, including, but not limited to, the details, means and methods of the performances of the performing artists hereunder, and artist shall have the sole right, as artist may see fit, to designate and change at any time the performing personnel. Artist's obligations hereunder are subject to detention or prevention by sickness, inability to perform, accident, means of transportation, act of god, riots, strikes, labor difficulties, epidemics, any act or order of public authority or any other cause, similar or dissimilar, or beyond artist's control 10. Producer and Purchaser each hereby represent and warrant that neither the execution and performance of this Contract nor the consummation of the transactions contemplated hereby will (a) conflict with or result in a breach of any term, condition or provision, or constitute a default under, any agreement or other instrument to or under which he/she/it is bound, or (b) violate or conflict with any judgment, decree, order, statute, rule or regulation of any court or any public, governmental or regulatory body or agency having jurisdiction over him/her/it. 11. Producer shall indemnify, defend and hold Purchaser, its members, agents, employees, officers, directors, attorneys and affiliates harmless from and against any and all losses, claims, obligations, demands, assessments, penalties, liabilities, costs, damages, and reasonable attorneys' fees and expenses asserted against or incurred by Performer by reason of or resulting from (a) any personal injury or property damage caused to any person or entity by a negligent or willful act or omission of Purchaser or his/her/its agents or employees, or (b) any breach by Purchaser of any of the terms or conditions of this Contract. 12. In the event either party is delayed or hindered in or prevented from performance of any required act by reason of strikes, lockouts, labor troubles, failure of power, restrictive governmental laws or regulations, riots, insurrections, war, or other similar nature not the fault of the party delayed in performing work or doing acts required under the terms of this Contract, then performance of that act shall be excused for the period of the delay and, if the Performance cannot be held because of such event, Producer /Performer will still be entitled to full compensation. 13. This Contract shall be amended, modified or supplemented only by an instrument in writing executed by both parties. 14. Except as otherwise specifically provided herein, any notice or communication which is required or permitted under this Contract shall be in writing and shall be sent by (a) registered or certified mail, postage prepaid, return receipt requested, or (b) overnight mail courier, or (c) facsimile transmission with a hard copy send by United States first class mail, to the parties at the addresses listed below the signatures. 15. This Contract constitutes the entire contract between the parties and supersedes any prior agreement or understanding between the parties relating to the subject matter hereof. 16. This constitutes the sole, complete and binding agreement between the parties hereto Bogus Productions, Inc. acts only as agent for artists and assumes no liability hereunder. If artist or purchaser (Consolidated Students of the University of Nevada) shall re-enter into any contractual obligation within the next 12 months Bogus Productions will be entitled to a commission of 15% of the contracted price. 17. Each party shall bear its own attorneys' fees and costs incurred in connection with the negotiation, drafting, review and finalization of this Contract except that, in the event either party brings an action to enforce any of the terms of this Contract or for breach of this Contract, the prevailing party shall be entitled to his/her/its reasonable attorneys' fees and costs. 18. This Contract shall be governed, construed and enforced in accordance with the laws of the State of Nevada. The parties agree that any litigation relating directly or indirectly to this Contract shall be brought before and determined by a court of competent jurisdiction within the County of Clark, State of Nevada. 19. This Contract may bo executed in counterparts, each of which shall be deemed an original and all of which, taken together, shall constitute but ono and the same instrument. This Contract may bo executed and delivered by exchange of facsimile copies showing the signature of each party, and those signatures need not be affixed to the same copy. The ( facsimile copies so signed will constitute originally signed copies of the same Contract requiring no farther execution. 20. Either party shall have the right to cancel this engagement by giving thirty (30) days written notice prior to performance. Rights of cancellation by artist shall be limited to television, motion pictures, Broadway play, tour, or international tour. Purchaser will be notified by registered mail and any advanced deposits will be refunded to purchaser. In case of cancellation by purchaser shall be notified by certified mail and all deposits will be refunded in a timely manner. 21. Artist shall have the sole and exclusive right, but not the obligation, to sell souvenir programs and other souvenir items including cassette tapes, and compact disc's in connection with, and at the performance(s) hereunder and the receipts therefrom shall belong exclusively to artist. 22. Purchaser shall not have the right to broadcast or televise, photograph or otherwise reproduce the performance hereunder, or any part thereof. Purchaser agrees that no performers other than those to be furnished by artist hereunder will appear on or in connection with the engagement hereunder. Purchaser shall not have the right to assign this agreement, or any provision hereof. Nothing herein contained shall ever be construed as to constitute the parties hereto as a partnership, or joint venture. Or that artist shall be liable in whole or in part of any obligation that may be incurred by purchaser in purchaser's carrying out any of the conditions hereof, or otherwise. The person executing this agreement on purchaser's behalf warrants his authority to do so, and such person hereby personally assumes liability for the payment of said price in full. 23. The parties agree to the following additional terms and conditions: Purchaser shall provide (1) one private dressing room and break room equipped with adequete supply of water for all performers for both days. ANNOUNCEMENTS SENATE PRESIDENT DAVY announced the need for two people to serve on inter-collegiate committee. These individuals could be Senators or individuals from the CSUN Body. SENATORS DICK AND HOMAMPOUR showed interest. STUDENT BODY VICE PRESIDENT KNAPP said that Director evaluations will be in your boxes by the next meeting. He is working on the CSUN Code of Conduct. Anyone with input regarding the Code should contact him. The Directors are working hard as usual. The CSUN bbq went well, aside from band volume concerns. He would have liked to have seen more of a showing. The organizations' recognition packets are out and ready. Oozeball planning is in the works and he said they are getting a list together for a team for CSUN. The next Board of Regents meeting is September 7 and 8 at the Charleston Campus. The Campus planning retreat was very informative. He will be meeting with Tom Roit with Marketing to survey sample groups about campus life to get more information on improving things on campus. He has received a few names for the Directors boards. If anyone knows of anyone interested please remind them that apps are available and need to be turned into STUDENT BODY VP KNAPP. MORADKHAN announced that Premiere is Wednesday and the next Board of Regents Meeting is next Thursday. He gave thanks for everyone who helped with orientation. He noted the BBQ went extremely well. The Annexes are not open yet, as they still need to hire more students. They should be open by Monday of next week. Any further changes will be updated through memorandums. There were no questions for STUDENT BODY PRESIDENT P. MORADKHAN. STUDENT BODY PRESIDENT P. MORADKHAN gave his State of the Campus Address. For a copy of this address please see the Senate Secretary in the CSUN student government office. IV. APPROVAL OF MINUTES SENATOR M. MORADKHAN moved to approve minutes from Senate Meeting 30-26, seconded by SENATOR DAYANI. SENATOR BRINK noted the change necessary from unexcused to excused absence for meetings 30-25 and 30-26. Move into a vote on the item. Motion passes (20-0-0). Minutes 30-25 and 30-26 were approved. V. BOARD AND COMMITTEE REPORTS A. Senate Committee Reports SENATOR BOWERS requested schedules for members of the Ways and Means Committee. SENATE PRESIDENT DAVY requested that schedules from everyone be submitted to B. Faculty Senate/University Committee Reports There were none. C. Business Manager Report Business Manager Jim Moore read off expenditures for the month of July. They were as follows: $28.15 for reprographics, $66.00 for mail services, $156.55 for telephone charges, $194.75 for postcards for incoming freshman, $250.00 for the welome back DJ, $300.00 for refreshments for the Senate retreat, $195.98 for additional RAM and a sound card for the OSI computer, and $137.72 for office supplies. Business Manager Moore also noted that the new employment documents should be signed. It needs to be signed by the end of the week. Fee waivers should be posted. If there are any problems please let him know immediately. SENATOR BROWN asked why the sound card was needed. SENATOR POWELL asked if we can meet with him to sign documents. There were no farther questions. D. Directors' Reports Brooke Bohlke - Director of Nevada Student Affairs "Choose or Lose will be held on September 29, 2000. All senate candidates will be invited to participate in the event by campaigning at a table designated to their college. Each candidate will not be allowed to use or pass out campaign materials. However, they will be allowed to wear any campaign t-shirts, hats, buttons, or other accessories and speak to students. A Choose or Lose participation application was put in each of the organization packets to allow each organization the opportunity to participate in the event by selling any food and beverage items. I contacted Shoestring Entertainment regarding helping me find additional vendors. I was also presented with the idea of vendors such as Diversity Tattoos to give away temporary tattoos or CD stores to give away promotional CDs of up and coming bands. I spoke with Kenny Guinn on Friday while he was here for freshman orientation and he said that he would be delighted to come to our Choose or Lose event." There were no questions for DIRECTOR BOHLKE. Jennifer Hale - Director of CSUN Services stated that Recognition packets are out. Everyone has flyers to pick up packets. All organizations were e-mailed as well. Flyers will be up during the week as well to put out the information. Flyers are in the recognition for the ticketing policy for more information and one for the new elections. In addition, one for choose or lose is also out. 25 packets have been picked up already. Now to pick up packets you must sign in. This is important so that we know which organizations have their packets and so there can be contact with the people that have yet to pick them up. Some organizations need to give receipts as well. There were no questions for DIRECTOR SMYLIE. Holly Wainscott - Director of Elections Reported the following: Welcome back to school. The big topic is Senate Election Packets. Thanks to the CSUN members for the feedback. There will be some last minute revisions. The packets will be out this Friday, September 1, 2000. They are due September 15th, 2000. Senate Packet Flyer is out as well. She is working with DIRECTOR SMYLIE to put information about candidates on the webpage. There is a timeline set for Homecoming. Packets will be available the 19th of September, they are due October 6t h . October 18th- 19t h is the election. She has also been working on the athletic sticker information so that students can come and get their stickers in the CSUN office. With these they can attend the games. VP KNAPP briefly mentioned the University planning retreat. She wanted to tell a little bit about the proposal to raise the entrance requirements at UNLV. The GPA requirement would be 3.0 in 5 years in order to raise the prestige of the University. Nevada State College would be the middle tier for Nevada. The administration asked her to see if CSUN supported this and could pass a resolution. SENATOR DICK asked about the test score requirement. DIRECTOR WAINSCOTT replied that the requirements would change as well. SENATOR PELTYN asked if the minimum would vary from out of state and instate. SENATOR POWELL asked if the minimums were discussed for the ACT and SAT requirements. There were no further questions. VI. OLD BUSINESS A. Action Item: Discussion/Approval of the proposed Election Rules for the Executive/Senate Elections; SENATOR GONZALES moved to remove from the item from the table, seconded by SENATOR M. MORADKHAN. Motion passes (20-0-0). SENATOR GONZALES moved to approve the proposal, seconded by SENATOR DAYANI. SENATOR BOWERS moved to amend Section 2, letter B adding a one to say "handbills, candy, and other handouts may only be distributed the days of elections", seconded by SENATOR DAYANI. There was no discussion on the amendment. Move into vote on the amendment. Motion passes (15-5-0). (SENATORS HOLBRON, PEISTER, M. MORADKHAN, HOMAMPOUR, and HUMPRHEY opposed). SENATOR PELTYN is curious to why banners are not allowed for the executive board. SENATOR PELTYN yielded the floor to DIRECTOR WAINSCOTT. DIRECTOR WAINSCOTT stated there is not enough banner space on campus. The only place there is permission is out on the front for banners. It would be hard to decide who is eligible for banner privileges. The executive board has a separate packet that is voted SENATOR GONZALES moved to amend item 4 A-C to strike "section E", seconded by SENATOR BOWERS.
