MINUTES OF FIRST MEETING OF THE STOCKHOLDERS OF THE GENERAL WASHINGTON MINING COMPANY.Pursuant to call and written notice, the first meeting of the stockholders of the General Washington Mining Company was held at the office of the Company in the Town of Goldfield, State of Nevada, at 8 o'clock P.M., on the 24th day of April, A.D. 1907, with stockholders present either in person or by proxy, representing a majority of the stock.Mr. Sims was chosen chairman and called the meeting to order. Mr. Jackson was appointed Secretary of the meeting.The following stockholders were present in person:A. B. Sims, J. M. Jackson and Webb H. Parkison, representing all of the stock of the company issued.The Secretary presented waivers of notice as to time, place and purpose of meeting, signed by each stockholder of record.No objection being offered thereto, the proof of notice as presented was ordered filed.The Chairman then presented a certified copy of the Articles of Incorporation of the Company, and stated that said certificate had been filed with the Secretary of State of the State of South Dakota on the 3rd day of April, 1907, and that pursuant to such articles a charter had been issued to said Company by said Secretary of State on said 3rd day of April, 1907, which charter was thereupon presented by the Chairman.Upon motion duly made and carried, said articles of incorporation were ordered received and said charter ordered accepted, and the Secretary was instructed to spread the said articles in full upon the first pages of the book of minutes.The Chairman also presented a form of by-laws, which was read, section by section, and as a whole, adopted as the by-laws of the Company and ordered entered in the minute book.
