1. The undersigned, hereinafter called ?╟úFranchisee?╟Ñ hereby agrees to sponsor, promote and finance a fair and unbiased contest within the territory assigned according to the rules and regulations set forth by Miss Universe Beauty Pageant, Inc. hereinafter called ?╟úPageant?╟Ñ. In consideration of this franchise, Franchisee agrees to pay Pageant the sum of $ 1'?║Q00 by certified check or money order payable to Pageant upon the signing of this agreement. 2. Franchisee agrees to provide to the winning delegate at its expense first class transportation to Miami Beach and return. Nothing contained herein shall in any way affect Pageant's right to determine the method of such transportation in its sole discretion. Franchisee agrees that its delegate will depart from Miami Beach, Florida, U.S.A. for her home on July 17, 1961 unless special permission to stay over is obtained from the management of Pageant. Franchisee agrees to furnish the winning delegate with an adequate wardrobe which shall include at least one evening gown, a gift symbolic of her state to present to the City of Miami Beach at the opening ceremonies and to provide her with at least $100.00 in cash to cover incidental expenses while away from home. Franchisee agrees to deposit with Pageant the sum of $150.00 by check or money order to the order of Pageant upon the signing of this agreement, said sum to be held in escrow until the termination of the Miss Universe Beauty Pageant, in July 1961, at which time it will be returned to Franchisee or applied against any of the obligations set forth in this paragraph which Franchisee has failed to perform. 3. Franchisee agrees to hold the Finals for election of a delegate to the 1961 Miss Universe Beauty Pageant no later than June 15, 1961. 4. Pageant agrees to accept Franchisee's delegate in the Finals of the Miss U.S.A. contest and, if selected as Miss U.S.A. in the Finals of the Miss Universe contest at Miami Beach, Florida, U.S.A., and to furnish hotel accommodations and meals for her during the competition. 5. Franchisee agrees to handle publicity on its contest and to release to local newspapers, national news syndicates and special publications the photographs of its winning delegate for national and worldwide publicity. 6. Franchisee agrees to mention the name of the City of Miami Beach, Florida in the pub- licity and advertising pertaining to its contest. y.:, 7. Franchisee agrees that all references to the Miss Universe Beauty Pageant on its letterhead and in promotional material shall be subject to Pageant's prior written approval. Pageant hereby approves the statement ?╟úIn affiliation with the 1961 Miss Universe Beauty Pageant?╟Ñ for use on letterheads and in promotional material in conjunction with the regular name of Franchisee's contest. 8. Franchisee agrees that as soon as the delegate is selected, Franchisee will immediately send photographs and photographic negatives, the filled-in official Miss Universe entry form and a fact sheet about her directly to Pageant, 502 Park Avenue, New York 22, New York. 9. Franchisee further agrees that its winning delegate for the title of Miss U.S.A. or Miss Universe will not permit her photograph to be used in connection with any products or services without the prior permission of Pageant until after the final awards have been made at Miami Beach. 10. Franchisee agrees that it will not incur, and is not authorized to incur, any obligations or debts for or on behalf of Pageant, Catalina, Inc., any co-sponsors or any sponsor of radio, or T.V. shows covering the event and it thoroughly understands that Pageant, Catalina, Inc. and the co-sponsors, are in no way obligated to pay for any debts or fulfill any promises made by the Franchisee in conducting this contest except as in this agreement specifically provided. 11. Pageant agrees to notify Franchisee of the names of the co-sponsors. 12. Franchisee agrees to use its best efforts to cooperate with Pageant and its co-sponsors in its territory. 13. As of the essence of this agreement, Franchisee and its delegate agree to and shall be bound by the following requirements: (a) Delegate must be a citizen of the United States and a resident of her state for at least six months prior to the date of the beginning of Franchisee's contest, be between the ages of 18 and 28, and must have been born subsequent to July 1, 1933 and prior to July 1, 1943. Franchisee's winning delegate must bring with her a birth certificate or passport or a certified copy of other public records acceptable to Pageant, establishing proof of her date of birth. (b) Delegate must be of good health, good character and possess poise, personality, charm, beauty of face and figure. All judging must be made on these points and in accord- ance with the official judging procedure furnished to Franchisee. (c) Delegate must never have been married. She must bring with her a sworn statement that she has never been married. Franchisee is held responsible for this proof, and any misrepresentation as to marital status will result in the loss of this Franchise as well as disqualification of the delegate. (d) No delegate is eligible to compete more than once in a Miss Universe Beauty Pageant. (e) If for any reason the delegate winning Franchisee's contest is disqualified or released from appearing at the Miss Universe Beauty Pageant, the next choice of the judges shall be considered the winner. Decisions of the judges shall be final. (f) All delegates must wear a ?╟úCatalina?╟Ñ Swim Suit. No photographs of the winning delegate wearing a swim suit shall be released for publication unless she is wearing a ?╟úCatalina?╟Ñ swim suit.
