Hamilton, Esq. 0*Melveny & Myers 433 South Spring Street Los Angeles 13, California Dear Franks I am enclosing a number of revised sheets to insert In the draft of 5-8-53 of the agreement covering the sale of the Las Vegas water facilities to the District, You will notice that I have eliminated from the prop­erty to be sold to the District as provided in Section 1 the new pipe lines to be constructed under Section 5 and have likewise eliminated from the purchase price provisions reference to the cost of constructing the new pipe lines and removing certain existing pipe lines and wire lines. I have also revised Section 4 in a manner which I be­lieve will be satisfactory to you and Mr. Powell, The provisions of Section g still need improving, but the revised sheets for this section will give you a gener­al Idea of how I think the matter should be handled. I have rewritten Section 7 completely in a manner which I think will be self-explanatory. The revised Exhibit "E", which is enclosed, will also give you a general idea of how I think we might handle the description of the facilities to be conveyed without a map. I definitely think that the pipe lines and wire lines to be removed and the pumping station to be relocated, as provided in Section 5, should be conveyed by & bill of sale which will not be recorded. Otherwise we may unnecessarily cloud the title of the Railroad land.
