Contracts shall be issued wherever possible, prior to the beginning of the engagement and signed by all parties. In the case of ?╟úlast minute?╟Ñ bookings, when engagements are to commence before contracts can be executed and properly filed with AGVA in accord- ance with these regulations, the agent shall notify AGVA immediately of such booking and the terms thereof. In all such cases of ?╟úlast minute?╟Ñ bookings (telegraph, or telephone with subsequent confirmation by letter or wire) contracts shall be issued within forty-eight (48) hours and shall be executed by the parties at the earliest possible time and distributed as provided above. In the interim, in the event of controversy, such commitment shall be construed to be executed on the applicable AGVA standard form of engagement contract and in any event be subject to AGVA?╟╓s rules and regulations. ?? , 8C. Agents shall not be responsible to artists for compensation on engagement contracts entered into between artists and owners, oper- ators and similar persons through their services as agents except (a) where the agent unlawfully and improperly signs an employment contract on hehalf of an operator without authority, or (b) where without a bona fide commitment from the operator the agent wilfully and wrongfully sends an artist to play an engagement without a proper contract. If an agent materially and wrongfully misrepresents the conditions of employment to the artist or the operator and loss of compensa- tion to the artist on the engagement results therefrom, AGVA may file claim against the agent for determination by the arbitration panel. 9. It is expressly agreed that any terms of this contract or the contracts referred to in Paragraph 5 of this agreement which are in conflict with the California State Labor Code, and the rules and regulations issued thereunder by the Labor Commissioner of the State of California, shall be deemed modified to conform with said Labor Code, and the rules and regulations issued thereunder, and that during the life of this contract the agency involved herein shall at all times be licensed by the State of California. 10. The Employer and the Artist hereby jointly and sevarally agree that any and all controversies or claims arising out of or relating to this contract or the breach thereof shall be settled by arbitration, in accordance with the rules then obtaining of the American Arbitra- tion Association (except as may otherwise be provided in the ACrXA, A,tde^#^^djwdgnient upon the award rendered may be entered in the highest court of the forum, state or federal, having jurisdiction,^provided * that ?╟ in* connection with any controversy under this contract reasonable notice shall be given the Labor Commissioner of the State of California of the*time and place of any arbitration hearing here- under. The Labor Commissioner, or his authorized representative, has the right to attend all such arbitration hearings. 11. This contract shall be executed by the Artist and the Employer. If the Employer or Employers or any of them is a corporation, j this agreement must be signed by the corporation and by an individual as an individual and not as a corporate officer, and in any event a person signing as an officer, agent or representative of a corporation agrees that his signature hereto binds him as an individual as well as such officer, agent or representative. 12. It is hereby agreed that the persons licensed to operate this Agency will repay to the applicant his fee and expenses in the event of failure to procure employment pursuant to the provisions of Sections 1634 and 1635 of the Labor Code. 13. BONDS: The Employer agrees to deposit and maintain with AGVA'adequate security suitable to: AGVA. in the form of cash covering compensation and transportation of the Artists who are, have been or will be employed by him. 14. AGVA WELFARE TRUST FUND: The Operator is advised .of an AGVA Welfare Program ' which provides for welfare benefits for AGVA members. To assure the benefits of said Welfare Program to the performers engaged by the Operator* the Operator accepts the Program and agrees r|o make contributions to the AGVA Welfare Trust Fund as follows: * - L $1.00 per person per engagfelneirt per day ^ T. v. .. 2. $2.50 per person per week of six days or more. 3. $3.50 per person per week for ice skating, roller skating, swimming, indoor circuses, fairs, and outside of North American conti- nent, etc. .......... --V , . > . .. 9 ' f If ... n :? ?╟≤"; * ?╟≤ is i 14A. SUPPLEMENTAL AGVA WELFARE FUND: The Operator is advised of a SUPPLEMENTAL AGVA WELFARE FUND which provides for welfare benefits for AGVA members. (This is in addition to the AGVA Welfare Trust Fund.) The Operator agrees to make contributions to the SUPPLEMENTAL AGVA WELFARE FUND as follows: 1. Weekly Engagements (5, 6 or 7 days') - $1.00 per person~pe r' week. 2. Engagements of less than 1 week ?╟÷ 350 per person for the 1st day, 350 per person for the 2nd day; and 300 per person for the 3rd day. (Upon, the payment of the total sum of $1.00 .per person in . a week, no further payment shall be required for that week.) 15. All claims other than commission claims that may arise out of this contract must be presented to AGVA in writing, within 30 days, otherwise AGVA will not assume any responsibility for processing same/ 16.
