I t seems to me that Section 5 o f A rtic le 4 invests the Secretary with power, subject only to the direction o f the Board o f Directors, and the President, that would come in con flict with the duties conferred upon the Executive Committee. I am o f the opinion that the duties o f the Secretary should be confined to the usual and ordinary duties o f Secretar­ies o f corporations. My views in this regard are w ell illu stra te d by re ferrin g you to A rtic le 8 o f the By-Laws of the San Pedro, Los Angeles & Salt Lake Railroad Company, which defines the duties o f the Secretary o f that company, and, in accordance, it seems to me, with the powers usually conferred upon Secretaries o f corporat­ions and such as naturally appertain to that o ffic e . •I would be very glad to have you give these suggestions some further consideration, and give me your views regarding the same a fte r 3 uch further consideration.
