Las Vegas Land and Water Company Bryan and Cory Attorneys at Law 114^ North Third Street Las Vegas, Nevada Gentlemen: At a meeting held in Las Vegas Friday, January 14th, the Board of Directors o f the Las Vegas Valley Water D istrict requested me to write to you stating that the Board is desirous o f commencing negotiations with you with a view to making an appraisal of your properties in Las Vegas as a foundation fo r further n egotiation s. could appoint an engineer to work with your engineer in making a preliminary survey and appraisal o f your physical properties and that you might be w illin g to permit an accountant or auditor, selected by the Water D istrict, to confer with your own account­ants and auditors to obtain the necessary Information upon which to base book values. It appears to the Water D istrict that some o f this preliminary survey work would have to be done in order to form the basis fo r negotiations. t r ic t desires to purchase your company's in terest in Las Vegas, and are prepared to go forward with a program aimed at estab­lish in g a just and fa ir appraisal, and of obtaining the funds necessary to compensate you fo r your properties i f and when an agreement as to price is reached. We are prepared to take fu ll resp on sib ility for the le g a lity o f the D istrict, it s organization and any bonds i t might issue to raise the funds necessary to purchase your in terest.
