I agree.termination of this Agreement but Producer shall have K no obligation to make any payment with respect to work not performed. Contractor shall have no right to delegate its performance hereunder. Contractor is rendering its services hereunder in accordance with its own methods and terms of this Agreement, is not an employee for any purpose and has no authority to bind Producer vis-a-vis any third party. All work shall be completed in a workmanship like manner and in compliance with applicable laws. All change orders shall be in writing and signed by Producer and Contractor. In the event Producer shall fail to pay any periodic payment due hereunder, Contractor may cease work without breach pending payment or resolution of any dispute. Contractor shall not be liable for any delay due to circumstances beyond its control including strikes, casualty or general unavailability of materials on-site. Producer will provide on-site stagehand labor to install the scenery provided in this Contract; provide the adequate electrical service at pump location to power this system; provide dimmer controlled electric power for the lighting in this system; provide the services of a qualified local welding service to assist in the installation of this scenery. The Contractor will provide complete on-site supervision and direction for the scenery installation for a flat fee of Fourteen hundred Dollars ($1400.OOUS) and per diem at Fifty Dollars per day ($50.OOUS); the Contractor estimating this installation to take from four to six days complete. Any expenses for which the Contractor is to be reimbursed shall be submitted with back-up receipts and/or documentation prior to processing.
