Metro-Goldwyn-Mayer Studios Culver City, California Gentlemen: You have advised the undersigned that you contemplate producing a motion picture tentatively entitled "WEEKEND AT LAS VEGAS?ǥ, and you have familiarized us with the story you propose to tell in said motion picture, and attached hereto is 9-page story outline thereof, of which we fully approve, and we furthermore fully and irrevocably approve of the screenplay of your said motion picture as long as such screenplay shall be based upon or adapted from the attached story outline, though we fully understand that when the screenplay of said motion picture be written, changes and additions and suppressions will be made by you in said story outline and we also approve all of the foregoing as long as the spirit and nature of the story out- line will not be substantially altered. As an inducement moving you to proceed with your said project, we hereby give you the permission you requested to use our name and to photograph and show in your said motion picture our premises and to reproduce on motion picture sets to be built by you, our said premises or part or parts thereof. In connection with the photography of our premises, such shall take place at a time to be mutually agreed upon between us, and we hereby give you our unqualified assurance of our full cooperation so as to make such photography possible and as desired by you and as required for your motion picture purposes. In connection with the reproduction of motion picture sets of our premises or part thereof, we hereby grant you the right to construct and use sets purporting to represent or reproduce in whole or in part any or all of the exterior and of the interior of our premises, and we agree to make available to you for your inspection such designs, sketches, photographs as are known by us to be in our possession of such interiors and exteriors, and you may copy such designs, sketches, and photographs and reproduce them in your motion picture sets. The photography of the interiors of our premises need not be exact or faithful reproductions of such interiors, and you shall be at liberty for your motion picture purposes to present such interiors as you shall deem fit and advisable. You shall be at liberty, insofar as we are concerned, to show patrons on our premises, entering and leaving them, and other action on our premises, and gambling and entertainment on said premises, and you may depict with performers of your own selection members of our
