M IN U T E S O F A SP E C IA L M E E T IN G O F THE BOARD O F DIRECTORS O F LAS V E G A S V A L L E Y WATER DISTRICT, HELD AT THE O FFIC E O F THE PRESIDENT, 135 SO U TH FOURTH STREET, LAS V E G A S , O N W E D N E S D A Y M A Y 2, 1951, AT 4:00 P .M . The Board of Directors of Las Vegas V alle y Water District held a special meeting at the office of the President this Wednesday, M ay 2, 1951, at 4:00 P .M . at 135 South Fourth Street, Las Vegas, Nevada. The following Directors were present: President Campbell V ic e President Butterfield Directors Bunch Cash man Miller Absent: Director Coulthard Underhill Manager Clark was present and acted as Secretary. The minutes of the meetings held on March 30, 1951, and the joint meetings with other bodies held on April 4, 1951, and April 6, 1951, were circulated in writing to all the Directors and stood approved, there being no omissions or corrections noted. The Board first considered the statement for services rendered by the bond counsel up to April 24th, amoun ting to $4000 for services in connection with the Colorado River C om mission proposed agreements, etc., and $165.39 for various expenses. After some discussion of the amount of cash on hand and the probability of a third loan from the County Commissioners to carry the District over the bond campaign, it was moved by V . P . Butterfield, and seconded by Director M ille r, that the statement for $4,165.39 be paid. Motion carried unanimously. The matter of having an audit made of the expenditures of the Water District since organization was discussed. The need of making some public statement was apparent, especially for publicity during the bond campaign. V ic e President Butterfield moved that the District retain the firm of Conway M oe & C o . , Certified Public Accountants, Las Vegas, Nevada, to make an examination of the District's records and report to the Board of Directors thereon. The motion was seconded by Director Bunch and passed unanimously. The need of an efficient publicity agent for the bond campaign was discussed and V ice President Butterfield suggested securing the services of one Jordan J. Crouch, connected with the First National Bank in Reno. This selection was considered excellent by the D irectors and V ic e President Butterfield was directed to start negotiations with M r. Crouch, feeling that his bank would be w illing to loan him to help out the Water District for a month or so this summer. * The impending negotiations with the Las Vegas Land and Water Company and Union Pacific Railroad officials, as to the purchase of the water utility in Las Vegas, were discussed at length. The advisability of making a complete valuation and check of the property to be taken over, with values attached to each item, rather than asking for a round figure from the utility, appeared to be wise. The Engineer has prepared an extensive analysis of the costs involved. It was believed that some competent engineer consultant should sit in with the Manager on conferences with the utility officials and engineers. The Manager brought up the matter of what the courts w ill-allow In a condemnation proceeding as values compared to the rate base value which a Public Service Commission will allow. The local utility has received a large amount of property such as pipe lines from the developers of real estate subdivisions. Director Cashman wanted to talk with a Mr. Frank Strong about some of these matters, as M r. Strong was formerly employed with the U .P.R .R. and well conversant with the local water utility. N o action taken otherwise.
